Reginald Sewell joined ROSENBLATT LAW FIRM in 2026 as Of Counsel on the Transactional Team. Much of Reginald’s practice centers on alternative investments. He has formed and organized private equity and registered investment adviser funds, guided initial capitalizations through SEC exemption compliance, and advised funds on ’33, ’34, and ’40 Act obligations from formation through exit. He has served as senior corporate counsel to private equity firms and has structured private placements of debt and equity ranging from seed capitalizations to raises well above $20 million.
His corporate and finance work spans investment-grade public capital markets transactions, domestic and international — including IPOs, revolvers, refinancings, at-the-market offerings, bonds, and equity forwards — alongside mergers and acquisitions, joint ventures, and post-closing purchase price adjustments. He also handles corporate governance, commercial and procurement contracting, and restructuring matters.
Reginald began his career in Houston as legal counsel to a major energy corporation, where he handled bankruptcy and corporate finance matters including plan confirmation, disclosure statements, settlements, strategic sales, and reorganizations across multiple bankruptcy estates. He later served as an attorney in a major city’s legal department, advising on transactional matters, contracts, procurements, airport leases, bond issues, and financing transactions. For the past fifteen years he has run his own practice as outside general counsel to clients in private equity, energy, real estate, technology, and logistics.
Reginald earned his Bachelor of Arts in Economics from Morehouse College, his Juris Doctor from The University of Texas School of Law, and his Master of Business Administration from the University of Chicago Booth School of Business, with concentrations in finance, strategy, and accounting.
